• Your submissions do not violate, or link to external sites that violate, these Terms of Use or any governing laws.
• Any engagement with the Site that breaches these rules constitutes a violation of these Terms and may lead to the immediate revocation or freezing of your access privileges.

Prohibited Activities

Your interaction with the Site is limited strictly to the purposes for which it is provided. The Site is not to be leveraged for any commercial undertakings unless we have granted specific, written authorization or endorsement. As a user of this service, you commit to refraining from the following actions:

Ratings and comments are not verified by us and do not necessarily reflect our perspective or that of our associates. We accept no responsibility for the content of reviews or for any damages or legal claims resulting from them. By submitting a review, you provide us with a permanent, global, and royalty-free license to use, adapt, translate, and share that content across any media or distribution channel.

Contribution License

By publishing your Contributions on the Site or connecting them via linked social media profiles, you grant us an unconditional, permanent, global, and royalty-free license to utilize your content. This includes the right to host, reproduce, modify, display, and distribute your material (including your likeness and voice) for any business or promotional objective through any existing or future media formats. You further agree to waive all moral rights to these materials and confirm that no such rights have been claimed previously.

We reserve the absolute right to:

(1) modify or edit any material; (2) move Contributions to different sections of the Site for better organization; and (3) review or remove any content at our discretion without prior warning. While we reserve these rights, we are under no obligation to actively monitor the content provided by users.

Integration With External Networks

The Site allows you to connect your profile with accounts from external service providers (“External Accounts”). This can be achieved by: (1) entering your external login credentials directly through our interface; or (2) permitting us to access your External Account under the specific rules set by that provider. You confirm that you have the legal right to share these credentials or grant this access without violating any agreements with the external provider and without incurring any costs or usage restrictions for us. We maintain the authority, though not the requirement, to: (1) oversee the Site for any breaches of these Terms of Use; (2) initiate suitable legal measures against any individual who, according to our judgment, breaks the law or violates these provisions, which may include notifying police or regulatory bodies; (3) at our absolute discretion, deny, block, or deactivate (where technically possible) any of your Contributions or specific parts of them; (4) at our sole discretion and without prior warning or accountability, delete or disable any files and data that are unusually large or create a technical strain on our infrastructure; and (5) generally administer the Site to safeguard our assets and legal rights while ensuring the platform operates correctly.

Data Privacy And Protection

We prioritize the confidentiality and protection of your data. By engaging with the Site, you consent to the terms of our Privacy Policy, which is officially part of these Terms of Use. Note that the Site is managed within the United States. If you are visiting from a territory with different regulations regarding the gathering or handling of personal data, your ongoing use of the Site means you are intentionally moving your information to the United States and consenting to its processing there. Furthermore, we do not intentionally gather, ask for, or target data from minors. Term And Termination

These Terms of Use remain active and enforceable throughout your entire period of interaction with the Site. WITHOUT RESTRICTING ANY OTHER SECTION OF THIS AGREEMENT, WE HOLD THE AUTHORITY, AT OUR EXCLUSIVE DISCRETION AND WITHOUT PRIOR NOTIFICATION OR LEGAL RESPONSIBILITY, TO REFUSE SITE ACCESS AND USAGE (WHICH MAY INCLUDE FILTERING SPECIFIC IP ADDRESSES) TO ANY INDIVIDUAL FOR ANY JUSTIFICATION OR WITHOUT CAUSE. THIS INCLUDES, BUT IS NOT LIMITED TO, CIRCUMSTANCES INVOLVING THE VIOLATION OF ANY ASSURANCE, WARRANTY, OR AGREEMENT OUTLINED IN THESE TERMS OR ANY RELEVANT LEGISLATION. WE RESERVE THE POWER TO END YOUR ENGAGEMENT WITH THE PLATFORM, REMOVE YOUR PROFILE, AND WIPE ANY DATA OR MATERIAL YOU HAVE UPLOADED AT ANY MOMENT AND WITHOUT ADVANCE NOTICE. Should your profile be revoked or frozen for any reason, you are strictly forbidden from establishing a new account under your own identity, a fabricated alias, or the name of another individual, even if you are representing that party. Beyond the closure or suspension of your account, we maintain the right to initiate necessary legal proceedings, including but not limited to pursuing civil litigation, criminal charges, or court injunctions.

Service Alterations And Downtime

We maintain the authority to alter, adjust, or delete any Site material at any moment and for any cause without prior notification. Nevertheless, we are under no requirement to refresh any data on our platform. We also retain the right to adjust or halt the Site, in whole or in part, without warning. We shall not be held accountable to you or any external party for any adjustments, pricing shifts, pauses, or the complete termination of the Site. Continuous availability of the Site is not guaranteed. We may encounter technical difficulties involving hardware or software, or require periods of maintenance, leading to service lapses, latency, or malfunctions. Governing Law

These Terms of Use and your interaction with the Site are governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. This applies to all agreements established and executed entirely within the jurisdiction of Ontario, without regard to any conflict of law principles.

Conflict Setlement

Preliminary Discussions

In an effort to resolve issues quickly and minimize legal expenses, both you and we (the “Parties”) agree to attempt an informal negotiation of any disagreement, conflict, or claim arising from these Terms (each a “Dispute”) for a minimum of thirty (30) days prior to starting arbitration. These discussions begin once one Party sends a formal written notification to the other.

Scope and Limitations

The Parties agree that any legal proceedings or arbitration shall focus strictly on the individual Dispute between them. To the maximum extent allowed by Ontario law: (a) no proceeding shall be combined with another; (b) there is no authorization for a Dispute to be settled through class-action lawsuits or similar procedures; and (c) no Party has the authority to bring a Dispute in a representative role for the public or other groups.

Exclusions from Negotiation and Arbitration

The Parties recognize that the following categories of Disputes are exempt from the requirements of informal talks and mandatory arbitration: (a) cases involving the protection, enforcement, or validity of a Party's intellectual property; (b) issues stemming from claims of data theft, digital piracy, breaches of privacy, or illicit usage; and (c) any request for a court injunction. If any part of this section is deemed invalid or unenforceable, the Parties will not proceed with arbitration for that specific portion. Instead, such Disputes shall be settled by a court of competent jurisdiction within Toronto, Ontario, and both Parties consent to the authority of those courts.

Corrections

The Site may occasionally feature data that includes clerical errors, inaccuracies, or incomplete details, such as descriptions, service costs, availability, and other diverse materials. We maintain the authority to rectify any such errors, inconsistencies, or omissions, and to modify or refresh the information across the Site whenever necessary, without providing advance notification.

Legal Disclaimer

THE PLATFORM IS OFFERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU ACKNOWLEDGE THAT UTILIZING THE SITE AND OUR SERVICES IS DONE ENTIRELY AT YOUR OWN RISK. WE DO NOT VOUCH FOR, MONITOR, OR GUARANTEE ANY GOODS OR SERVICES PROMOTED BY EXTERNAL PROVIDERS THROUGH OUR SITE OR ANY LINKED ADVERTISEMENTS. AS YOU WOULD WITH ANY TRANSACTION, YOU ARE ADVISED TO APPLY SOUND JUDGEMENT AND CAUTION IN YOUR DEALINGS WITH THIRD-PARTY VENDORS.

Extend Of Liability

UNDER NO CIRCUMSTANCES SHALL WE, NOR OUR OFFICERS, STAFF, OR REPRESENTATIVES, BE HELD ACCOUNTABLE TO YOU OR ANY EXTERNAL PARTY FOR ANY DIRECT, INDIRECT, SECONDARY, STATUTORY, ACCIDENTAL, OR SPECIAL DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, THE LOSS OF EARNINGS, DIMINISHED INCOME, DATA CORRUPTION, OR ANY OTHER HARM RESULTING FROM YOUR INTERACTION WITH THE PLATFORM, REGARDLESS OF WHETHER WE WERE PREVIOUSLY NOTIFIED THAT SUCH LOSSES MIGHT OCCUR.

Protection And Indemnity

You consent to protect, compensate, and hold us—including our parent companies, partners, and all associated staff and representatives—harmless from any damages, legal responsibilities, losses, or claims, including professional legal fees, initiated by any external party due to: (1) your personal Contributions; (2) your interaction with the Platform; (3) a failure to comply with these Terms of Use; (4) any inaccuracy in the guarantees or statements you have provided here; (5) your infringement upon the rights of others, specifically intellectual property; or (6) any intentionally damaging behavior toward another participant you encountered through the Site. We maintain the authority, at your financial responsibility, to take over the primary legal defense and management of any situation requiring your indemnification, and you agree to assist in our defense at your own cost. We will make a genuine effort to inform you of any such legal matter or claim as soon as we are alerted to it.

User Data

We will retain specific information you provide to the platform to oversee site performance and track your activity within the service. While we conduct frequent, automated backups, the ultimate responsibility for all information you submit or actions you perform on the Site rests entirely with you. You acknowledge that we are not responsible for the disappearance or degradation of any such data, and you hereby relinquish any legal claim against us stemming from such loss or data corruption.

Digital Correspondence And Electronics Signatures

Furthermore, you relinquish any rights or requirements under any regional laws or regulations that mandate a physical signature, the storage of paper records, or the processing of payments and credits through non-electronic methods.

Ontario Consumer Protection

If any grievance filed with us is not addressed to your satisfaction, you may reach out to the Ministry of Public and Business Service Delivery. General Provisions

These Terms of Use, along with any operational guidelines or policies published on the Platform, represent the complete and exclusive agreement between you and our Company. Any failure on our part to exercise or uphold a specific right or section of these Terms does not represent a waiver of that right. This agreement functions to the maximum extent allowed by law. We reserve the authority to transfer or delegate any of our rights and duties to third parties at our discretion. We are not accountable for any injury, loss, delay, or failure to perform resulting from circumstances outside of our reasonable management. If any individual clause or portion of these Terms is found to be illegal, invalid, or unenforceable, that specific part will be considered independent and will not impact the legal standing of the remaining sections. No partnership, joint venture, employment, or agency connection is established between you and our Company through these Terms or your interaction with the Site. You acknowledge that our role as the drafter of this document shall not result in any legal interpretation used against us.
